These Terms and Conditions govern paid subscriptions to the EWMC members-only site and related access to downloadable market reports, templates, data files, and other digital content that may also be sold separately through the EWMC online store. By placing an order for a subscription, you agree to these Terms.

1. About these Terms

(a) These Terms apply to contracts between EWMC and a customer who purchases a paid subscription for access to digital content through ewmarketingconsultant.uk and/or the EWMC members-only site.

(b) If a customer purchases wholly or mainly for use in connection with their trade, business, craft or profession, some consumer rights referred to in these Terms may not apply, but EWMC may still choose to honour the same protections.

(c) If there is any conflict between these Terms and the subscription details shown on the checkout page or in Schedule 1, the checkout page and Schedule 1 will prevail to the extent necessary to describe the plan purchased, price, billing interval, minimum term, and scope of access.

2. Who We Are and How to Contact Us

(a) “EWMC”, “we”, “us” and “our” means the trader identified in Schedule 1. EWMC currently trades online via ewmarketingconsultant.uk.

(b) Customers can contact us using the support details in Schedule 1 for subscription queries, complaints, account issues, cancellation notices, and requests relating to faulty digital content.

3. Definitions

the paid plan purchased by the customer giving access to the Digital Content for the period and on the billing basis stated at checkout and in Schedule 1.

Digital Content or related materials sold separately through the EWMC website store

4. The Subscription Service

(a) The Subscription gives the customer access during the active subscription period to the Digital Content described on the relevant plan page, checkout page, or members-only site. This may include access to items that are also available to purchase individually as Store Content.

(b) Unless Schedule 1 states otherwise, the Subscription is for digital content only and does not include consulting services, tailored advice, guaranteed response times, or bespoke research.

(c) EWMC may add to, refresh, replace, or retire specific reports or files from time to time, provided the overall nature of the Subscription remains materially consistent with the description given when the customer purchased it.

5. Eligibility and Account Registration

(a) Customers must provide accurate, complete and current information when creating an Account or placing an order.

(b) Customers must keep login details confidential and must not allow unauthorised persons to access the Subscription. If a plan is limited to a named user or a fixed number of authorised users, the customer must not exceed that limit.

(c) Customers are responsible for all activity carried out through their Account unless they notify EWMC promptly of unauthorised access and take reasonable steps to secure their login credentials.

6. Orders and Contract Formation

(a) The customer’s order is an offer to purchase a Subscription. The contract is formed when EWMC sends an order confirmation email or otherwise confirms acceptance and access is made available.

(b) EWMC will provide or make available a copy of these Terms and the order confirmation in a form that can be stored for future reference, such as by email or downloadable PDF.

(c) The customer must be able to review the order, price, billing basis, and any renewal terms before submitting the order, and the final order button should make clear that placing the order creates an obligation to pay.

7. Subscription Fees, Billing and Renewal

(a) Subscription fees, billing frequency, minimum term, trial period (if any), authorised-user limit, and renewal basis are shown at checkout and set out in Schedule 1.

(b) Unless expressly stated otherwise, all prices are inclusive of VAT where applicable. If VAT applies and is charged separately, this will be clearly shown before the customer places the order.

(c) If the Subscription renews automatically, the customer authorises EWMC to take the renewal payment using the payment method on file on each renewal date unless the customer cancels before the next renewal takes effect.

(d) The customer may cancel renewal at any time using the cancellation method set out in Schedule 1. Cancellation will normally take effect at the end of the current paid period unless the customer has a legal right to cancel earlier or receive a refund.

(e) EWMC will not impose any cancellation fee for ending a Subscription from the next renewal date. If EWMC increases the price for a future renewal, the new price will apply only after prior notice and from the next billing cycle onward.

8. Cooling-off Rights and Immediate Supply of Digital Content

(a) Where the customer is a consumer and the contract is made online or otherwise at a distance, the customer may ordinarily have a 14-day cooling-off right for digital content not supplied on a tangible medium.

(b) Because the Subscription is intended to give immediate access to Digital Content, the customer will be asked, before access begins, to: (i) expressly request that EWMC start supplying the Digital Content during the 14-day cooling-off period; and (ii) acknowledge that, once supply begins, the customer loses the 14-day right to cancel for that Digital Content.

(c) If the customer gives that express request and acknowledgement and EWMC starts supply immediately, the customer will lose the statutory right to cancel once supply begins.

(d) If EWMC does not obtain the required express request and acknowledgement before supply starts, or does not confirm them as part of the order confirmation, the customer may keep the statutory right to cancel in accordance with applicable law.

(e) Nothing in this clause affects the customer’s separate legal remedies if the Digital Content is faulty, not as described, or otherwise does not comply with the contract.

9. Refunds

(a) Subscription payments are non-refundable except where the customer has a mandatory legal right to cancel, where EWMC has agreed otherwise in writing, or where a refund or price reduction is required by law.

(b) No refund is due simply because the customer chooses not to use the Subscription, forgets to cancel before renewal, or downloads fewer reports than the plan permits.

(c) If EWMC materially reduces the core scope of the Subscription during a prepaid term and the change is adverse to the customer, EWMC will use reasonable efforts to give advance notice and may offer a pro-rata refund, credit, or other appropriate remedy.

10. Access to Downloadable Reports and Continuing Rights After Expiry

(a) During an active Subscription, the customer may access and download the Digital Content made available under the purchased plan, subject to these Terms.

(b) When the Subscription ends or expires, the customer’s right to log in to the members-only site and obtain new downloads or updates stops unless the Subscription is renewed.

(c) Unless Schedule 1 states otherwise, copies of reports and files lawfully downloaded during an active Subscription may continue to be used for the customer’s own internal business or personal reference in accordance with the licence in clause 11, but may not be redistributed, resold, or commercially exploited outside that licence.

11. Licence and Intellectual Property

(a) EWMC and its licensors retain all intellectual property rights in the Subscription service, the members-only site, the website, and the Digital Content.

(b) Subject to payment of the applicable fees and ongoing compliance with these Terms, EWMC grants the customer a limited, non-exclusive, non-transferable, revocable licence during the active Subscription term, and for lawfully downloaded copies after expiry as permitted by clause 10(c), to use the Digital Content solely for the customer’s own internal reference or internal business use.

(c) Unless EWMC gives prior written consent or Schedule 1 expressly permits wider use, the customer must not:

• sell, sublicense, distribute, share, publish, or make the Digital Content available to third parties outside the authorised user group;

• remove copyright notices, branding, source references, or legal notices;

• use the Digital Content to create a competing commercial product or paid database;

• systematically scrape, harvest, or bulk-download content using bots, scripts or automated tools;

• upload the Digital Content to public repositories, shared external drives, generative AI training sets, or other systems that would make the content available beyond the authorised users, unless EWMC has expressly agreed to this in writing.

12. Market Data Disclaimer

(a) The Digital Content is provided for general informational purposes only. It is not investment advice, legal advice, tax advice, regulated financial advice, or a guarantee of commercial outcome.

(b) Market conditions, assumptions, forecasts, and third-party data sources may change. The customer remains responsible for its own business, commercial, legal, and financial decisions.

(c) Nothing in this clause excludes liability where it would be unlawful to do so, including for fraud or fraudulent misrepresentation, or for failure to supply Digital Content that complies with the contract.

13. Availability, Updates and Changes

(a) EWMC will use reasonable care and skill to make the members-only site and Digital Content available, but does not promise uninterrupted or error-free access at all times.

(b) EWMC may temporarily suspend access for maintenance, security, capacity, or technical reasons. Where reasonably practicable, EWMC will give advance notice of planned downtime.

(c) EWMC may make changes to the platform, file formats, download methods, or presentation of the Digital Content where those changes do not materially reduce the promised functionality, compatibility, or core value of the Subscription.

14. Faulty or Misdescribed Digital Content and Your Legal Remedies

(a) EWMC is under a legal duty to supply Digital Content that is of satisfactory quality, fit for any particular purpose made known to EWMC before purchase where the law requires this, and as described.

(b) If the Digital Content does not comply with the contract, the customer may be entitled under law to repair or replacement, and if that is not possible or is not provided within a reasonable time and without significant inconvenience, to an appropriate price reduction which may be up to the full price in appropriate cases.

(c) If the Digital Content causes damage to the customer’s device or other digital content because EWMC failed to use reasonable care and skill, the customer may be entitled to repair, compensation, or another legal remedy.

(d) To report faulty Digital Content, the customer should contact EWMC promptly using the contact details in Schedule 1 and provide reasonable information about the problem, including screenshots, file names, order date, and device or software information where relevant.

15. Cancellation by the Customer After the Cooling-off Position Has Ended

(a) Once any applicable cooling-off right has been lost or expired, the customer may still cancel renewal at any time so the Subscription ends at the end of the current paid period.

(b) Unless EWMC expressly agrees otherwise or the law requires a refund, cancellation after the cooling-off position has ended does not entitle the customer to a refund for the current paid period.

(c) If the customer wishes to cancel because EWMC is in breach of contract or because the customer is exercising a statutory right, the customer should say so when giving notice so EWMC can deal with the issue under the correct legal process.

16. Suspension and Termination by EWMC

(a) EWMC may suspend or terminate access immediately if the customer materially breaches these Terms, including by non-payment, unauthorised sharing of login credentials, infringement of intellectual property rights, misuse of the platform, or unlawful use of the Digital Content.

(b) Where the breach can be remedied, EWMC will normally give the customer a reasonable opportunity to do so before terminating, unless immediate suspension is reasonably necessary for security, legal compliance, or protection of EWMC or other users.

(c) Termination or suspension under this clause does not affect any accrued rights or liabilities and does not limit EWMC’s right to recover unpaid sums or seek other remedies available by law.

17. Personal Data

(a) EWMC will process personal data in connection with the Subscription in accordance with its Privacy Policy and applicable data protection law.

(b) The current privacy notice on ewmarketingconsultant.uk refers to EWMC as a UK-established company and provides the contact email ewmarketingconsultant@gmail.com. Before publishing these Terms, EWMC should make sure the privacy notice and Schedule 1 use consistent trader identity and contact details.

18. Limitation of Liability

(a) Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited, including liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or liability arising from EWMC’s statutory obligations to consumers.

(b) If the customer is a consumer, EWMC is responsible for losses the customer suffers that are a foreseeable result of EWMC breaching these Terms or failing to use reasonable care and skill, but EWMC is not responsible for losses that were not foreseeable.

(c) If the customer uses the Subscription for business purposes, EWMC will not be liable for loss of profit, loss of revenue, loss of business opportunity, loss of goodwill, or any indirect or consequential loss, except where such exclusion is not permitted by law.

(d) The customer is responsible for maintaining compatible devices, software, internet access, and ordinary cyber-security measures. EWMC is not responsible for issues caused solely by the customer’s own systems, third-party platforms outside EWMC’s control, or failure to follow reasonable access instructions provided by EWMC.

19. Complaints and Disputes

(a) Customers should send complaints to the contact details in Schedule 1, including the order details and a summary of the issue.

(b) EWMC will aim to investigate complaints promptly and respond within a reasonable time. Nothing in this clause prevents a customer from exercising any legal rights they may have.

20. Other Important Terms

(a) EWMC may update these Terms for future orders to reflect changes in law, regulation, technology, business operations, or the Subscription service. The version accepted at the time of purchase will continue to apply to the current paid term unless a change is required by law or is clearly beneficial to the customer.

(b) If any part of these Terms is found unlawful, invalid, or unenforceable, the rest of the Terms will continue in force.

(c) EWMC may transfer its rights and obligations under these Terms to another organisation, but will take steps to ensure that this does not adversely affect the customer’s rights.

(d) The customer may not transfer the Subscription or any rights under it to another person without EWMC’s written consent, except where the law requires otherwise.

21. Governing Law and Jurisdiction

(a) These Terms are governed by the law of England and Wales, unless the customer lives in Scotland or Northern Ireland, in which case the customer may also rely on any mandatory local laws that apply.

(b) If the customer is a consumer, the customer may bring legal proceedings in the courts of the part of the United Kingdom in which they live. EWMC may bring proceedings against the customer only in the courts of the part of the United Kingdom in which the customer lives unless the law allows otherwise.

(c) If the customer is not a consumer, the courts of England and Wales will have exclusive jurisdiction unless Schedule 1 states otherwise.
